TERMS

Terms

These terms apply between Thatcher Associates Ltd, Company No. 03996163 ("we", "us"), and the business that signs up for Thatcher OS ("you"). They apply when you tell us you want to go ahead and we invoice you. Thatcher OS is for businesses, not consumers.

1. What you are buying

The set-up. We help you, alongside a small group of other owners, to install Thatcher OS on your own computer and in your own accounts, and you get the first section of the manual. The set-up has finished when the first section is running on your system.

The monthly build. You get the rest of the manual and the agents as we make them available, two hours a week of online sessions, a monthly numbers session, a WhatsApp group, a short monthly note, and four evenings a year in Bristol. We may change the dates and format of sessions and evenings, and we will tell you first. The monthly build follows the set-up.

2. Paying and stopping

Thatcher Associates Ltd bills you. The fees are those on your invoice, plus VAT. The set-up fee is invoiced when you sign up, and the monthly fee is invoiced monthly in advance. Invoices are due within 14 days.

There is no minimum term. You can stop the monthly build at any time by email, and it ends at the end of the month you have paid for. We do not refund part-months.

If we cannot get your first section running, you may ask for your set-up fee back, unless that is down to you: for example not attending, not taking out the accounts, or not having a suitable computer or a CRM with an API connection.

We can end the monthly build with 30 days' notice, or straight away if you break these terms or don't pay.

3. What you can do with it

What's yours. Your data, your accounts and whatever you and your Claude have changed or built for your own agency.

What stays ours. The manual, the install briefs, the agents as we supply them and the other materials we give you remain ours.

What you may do. Use them inside your own agency, for your own recruitment business, for as long as you like, including after you stop paying. If you sell your agency, that right can go with it.

What you may not do. Sell, publish, share or give them to anyone outside your agency, teach them as a course, or use them to offer a competing product or service. The private links we send are for your agency alone. Parts of what we teach are general knowledge, and these terms do not stop anyone using what is in the public domain.

4. What we don't promise

We do not promise any number of leads, meetings, placements or fees. The results we quote are from our own agency, and yours depend on your market, your team and what you do with it.

5. Your side

  • Your computer and your accounts. Everything runs on your systems and you pay your own suppliers, including Claude and your CRM. Their prices and rules can change, and they can change or withdraw a service. That is outside our control.
  • Your CRM. It needs an API connection. Thatcher OS is built on Recruiterflow, so another CRM may need adapting, and we can't promise that every CRM will work.
  • Your computer. It should be a reliable, up-to-date Windows PC. We can't promise it will work on a Mac.
  • Sending. Nothing should go to a client or candidate until a person has read it, and that person is yours. You are responsible for everything your agency sends.
  • Data and the law. You are the data controller for your own clients, candidates and contacts, and responsible for following data protection, email marketing and employment law. You are also responsible for following the rules of the sites and services you use, including LinkedIn and job boards. What we say on these subjects is our experience, not legal advice, so take your own.

6. Help

We show you how to run and fix your system, mainly by asking your own Claude, and we can give you a steer. We do not log in to your computer or accounts, and we do not guarantee that any agent will keep working, because they depend on outside services that change. Software like this can make mistakes, so check what it produces.

7. The group

Owners share real numbers and real ways of working in the group, so this matters. Whatever you learn about another member's business, in a session, in the WhatsApp group or at an evening, stays in the group. Don't repeat it outside, and don't use it to approach another member's clients, candidates or staff. This carries on after you leave. We may ask you to leave the group if you break it.

We don't keep agencies in the same market apart, so other members may compete with you.

8. Liability

Nothing here limits liability that the law does not allow us to limit, such as for fraud. Otherwise, our total liability to you is limited to what you have paid us in the 12 months before the claim, and we are not liable for lost profits, lost business, lost data, or the acts of your suppliers.

9. General

We may update these terms or our prices and will give you 30 days' notice by email. If you don't agree, you can stop. These terms are the whole agreement between us, and they are governed by the law of England and Wales, whose courts deal with any dispute.
